Welcome to Oakshed Creative dba Oakshed Media & Marketing (“Oakshed,” “we,” “our,” or “us”).
By using our website, purchasing services, submitting materials, or working with Oakshed, you agree to these Terms & Conditions.
Please review them before purchasing or using our services.
1. Our Services
Oakshed Media & Marketing provides flexible marketing support, which may include:

Ready-to-post industry content

-
Social media scheduling
-
Engagement support
-
Reel and video editing

Graphic design
-
One-time marketing projects
-
Other marketing support agreed upon with a client
Services may be purchased individually or combined based on the needs of your business.
Specific services, deliverables, and current pricing are described on our website or provided directly to you before purchase.
2. Month-to-Month Services
Recurring Oakshed services operate on a month-to-month basis unless otherwise agreed in writing.
There is no required long-term contract.
Your recurring service will continue until canceled according to the cancellation terms below.
3. Billing and Automatic Renewal
Recurring services are billed automatically each month based on your original signup date.
By enrolling in a recurring service, you authorize recurring billing for the services you have selected.
Once a billing cycle has processed, that payment is considered final and cannot be changed, transferred, or refunded.
You are responsible for maintaining valid and current payment information.
Services may be delayed or suspended if payment cannot be successfully processed.
4. Changing Your Services
Oakshed services are designed to be flexible.
You may request to add, remove, or change recurring services.
Requests must be received at least 7 days before your next billing date for us to reasonably guarantee that the change will take effect during the upcoming billing cycle.
Because billing is automated, changes requested after that window may not take effect until the following billing cycle.
Once a payment has processed, the services and charges associated with that billing cycle cannot be changed.
5. Cancellations
Recurring services may be canceled with 30 days’ written notice by email.
Services will continue through any billing period that has already been paid.
Depending on when your cancellation notice is received, an additional billing cycle may occur during the required 30-day notice period.
Your recurring services will end after the final covered billing period.
6. Pausing Services
Oakshed does not currently offer the ability to pause recurring services.
If you no longer need support temporarily, you may cancel your service and enroll again when you are ready to restart.
We may retain your existing brand information and setup materials so that restarting services is easier in the future.
7. One-Time Projects
One-time marketing and design projects are priced based on the scope of the requested work.
Before beginning the project, Oakshed will confirm the general scope, pricing, and expected turnaround time.
One-time projects must be paid in full before work begins.
Once payment has been processed and work has begun, the payment is non-refundable.
8. Initial Setup and Delivery Timelines
The first month of service may require additional setup time while we learn your business, industry, branding, and needs.
Typical initial turnaround times may include:

Monthly Content Calendar: up to 7 days

Ready-to-Post Industry Content: approximately 7 to 10 days if the industry is new to Oakshed

Branded Content Support: up to 15 days

One-time projects: based on project scope
These timelines assume the client responds promptly if Oakshed needs additional information.
After the initial setup period, recurring services are intended to follow a regular monthly delivery schedule.
Delivery dates may be affected by delayed client responses, missing materials, platform issues, holidays, or circumstances outside our reasonable control.
9. Branded Content Process
Branded Content Support is created using information provided during onboarding, including your business details, branding, audience, visual direction, and marketing goals.
During the first month, Oakshed may provide approximately four initial post concepts to confirm that the overall creative direction is aligned with your brand.
After the initial direction is established, monthly content does not require individual client approval before delivery or scheduling.
Oakshed is hired to provide professional marketing judgment, strategy, and creative execution on the client’s behalf.
10. Revisions and Feedback
Routine revisions are not included with recurring monthly content after the content has been completed or delivered.
Content is intentionally created around the agreed brand direction, marketing strategy, and professional judgment of Oakshed.
Clients are encouraged to provide feedback about future direction.
Reasonable feedback may be incorporated into upcoming content cycles so the work can continue to evolve with the business.
Changes that significantly alter the original scope of a project may require additional fees.
11. Ready-to-Post Industry Content
Ready-to-Post Industry Content is created for a specific industry and is not exclusive to an individual client.
The same or similar content may be purchased or used by other businesses within that industry.
Finished posts are generally delivered as JPG or other completed image files.
Editable design or source files are not included unless specifically agreed upon in writing.
After purchase and delivery, clients may use the finished content for their own business purposes.
12. Client Photos, Videos, and Brand Materials
Whenever possible, Oakshed encourages clients to provide authentic photos and video footage so marketing materials reflect the actual business.
If sufficient client-provided visuals are not available, Oakshed may use appropriate stock imagery, designed graphics, or other visual resources.
Clients understand that authentic business photography and video may create a more personal connection with their audience than generic visual assets.
13. Client Responsibilities
Clients are responsible for providing accurate, timely, and complete information necessary for Oakshed to perform the requested services.
Depending on the service, this may include:

Logos and branding
-
Photos and videos

Website information
-
Marketing details
-
Timely responses to questions
-
Social media or platform access
Delays in providing required information or access may delay delivery.
Clients are responsible for reviewing the accuracy of information they provide to Oakshed.
14. Rights to Client-Provided Materials
By providing photos, videos, logos, text, graphics, or other materials to Oakshed, you confirm that you own those materials or have permission to use them.
You grant Oakshed permission to use, edit, format, reproduce, and process those materials as reasonably necessary to provide the services you purchased.
You agree not to submit materials that violate copyright, trademark, privacy, publicity, or other legal rights.
15. Ownership of Finished Content
After payment and delivery, clients may use finished content created for their business for their own business and marketing purposes.

Systems
-
Processes
-
Reusable designs
-
Industry content frameworks

Internal creative methods
-
Editable source files
Source files are not included unless specifically agreed upon as part of the service or project.
16. AI and Technology
Oakshed uses artificial intelligence and other technology tools as part of our marketing and creative workflow.
AI may assist with research, brainstorming, content development, visual creation, editing, organization, or other parts of the production process.
AI does not replace human judgment within the Oakshed process.
Content is reviewed and developed using marketing strategy, brand context, editing, experience, and professional judgment.
Because AI is part of our standard workflow, Oakshed does not offer an AI-free service option.
17. Social Media Scheduling and Third-Party Platforms
Scheduling services may include platforms such as:

Instagram

Facebook
-
LinkedIn
-
Google Business Profile
-
TikTok for certain video services
Platform availability may change.
Oakshed is not responsible for circumstances outside our control, including:

Platform outages
-
Failed third-party integrations
-
Account restrictions
-
Algorithm changes
-
API changes
-
Platform policy changes
-
Posting delays caused by third-party systems
-
Changes in reach or visibility
We will make reasonable efforts to resolve scheduling or publishing issues when possible.
18. Account Access
Clients purchasing scheduling or other platform-based services may be required to provide Oakshed with appropriate account permissions or access.
Clients are responsible for maintaining ownership and control of their accounts.
Oakshed recommends using official platform permissions, business manager tools, or secure access methods whenever available.
19. Marketing Results
Oakshed does not guarantee specific marketing outcomes.
We provide marketing strategy, professional execution, creative services, and consistent support.
Results may be affected by many factors outside our control, including:

Audience behavior

Industry
-
Competition
-
Local market conditions
-
Existing brand visibility
-
Platform algorithms
-
Posting consistency
-
Business reputation
-
Customer behavior
We do not guarantee follower growth, reach, engagement, inquiries, sales, revenue, or other specific business results.
20. Communication
Email is the primary method of communication with Oakshed Media & Marketing.
We do our best to respond within 24 business hours, Monday through Friday.
Messages received on weekends or holidays may be addressed during the next business day.
Clients are responsible for maintaining a working email address and monitoring communications related to their services.
21. Refunds
Payments are non-refundable once processed.
Recurring services reserve production time, resources, and capacity for your business.
One-time projects are scheduled after scope and payment are confirmed.
For those reasons, Oakshed does not provide refunds for processed payments, unused services, changes of mind, or early cancellation during a paid service period.
22. Confidentiality
Oakshed will treat non-public business information shared by clients as confidential and will use it only as reasonably necessary to provide services.
Information may be shared with contractors, technology providers, payment processors, or other service providers when necessary to operate our business and perform client services.

23. Appropriate Use and Right to Refuse Work
Oakshed reserves the right to decline or discontinue work that we reasonably believe:

Violates applicable law

Infringes another party’s rights

Contains discriminatory or abusive material

Is intentionally deceptive

Violates platform policies
-
Creates unreasonable legal or reputational risk

Falls outside the agreed scope of our services
If a request falls outside our normal services, we may decline the project or provide separate pricing.
24. Third-Party Services
Oakshed may use third-party platforms and software to provide services.
These may include website platforms, cloud storage, design tools, social media platforms, scheduling systems, payment processors, analytics tools, and AI-assisted technology.
We are not responsible for interruptions, failures, policy changes, security incidents, or availability issues caused solely by third-party providers.
25. Limitation of Liability
To the fullest extent permitted by applicable law, Oakshed Creative dba Oakshed Media & Marketing will not be responsible for indirect, incidental, special, consequential, or similar damages arising from the use of our website or services.
To the extent liability cannot legally be excluded, Oakshed’s total liability related to a claim will not exceed the amount paid by the client to Oakshed for the service giving rise to the claim during the applicable billing period.
26. Website Use
Information provided on our website is intended to explain Oakshed’s services and general marketing approach.
We make reasonable efforts to keep information accurate and current, but website content may be updated, corrected, or changed without notice.
Pricing, availability, and service details may change over time.
27. Changes to These Terms
Oakshed may update these Terms & Conditions periodically to reflect changes to our services, business practices, technology, or legal requirements.
The current version will be posted on our website with an updated “Last Updated” date.
Continued use of our services after updated terms take effect may constitute acceptance of those terms, where permitted by law.
28. Governing Law
These Terms & Conditions are governed by the laws of the State of Arizona, without regard to conflict-of-law principles, unless applicable law requires otherwise.
